Agreement to Terms

These Terms of Service constitute a legally binding agreement between you, whether personally or on behalf of an entity, and DataWi Analytics concerning your access to and use of our business analytics consulting services, including business intelligence implementation, data visualization solutions, predictive analytics modeling, and team training programs. By engaging our services or accessing our website, you agree that you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with all of these terms, you are expressly prohibited from using our services and must discontinue use immediately.

Service Scope and Deliverables

DataWi Analytics provides professional business analytics consulting services including but not limited to analytics strategy development, BI platform implementation, custom dashboard creation, data architecture design, predictive modeling solutions, and comprehensive analytics training programs. All services are delivered according to mutually agreed project scopes documented in individual service agreements or statements of work. Service deliverables, timelines, and specific methodologies are defined on a project-by-project basis. We reserve the right to modify our service offerings, pricing structures, and delivery methodologies at any time without prior notice, though existing contractual commitments will be honored according to their original terms. Our services are designed for business use by organizations seeking to enhance their data-driven decision-making capabilities and should not be used for any unlawful or unauthorized purposes.

Client Responsibilities and Cooperation

Successful delivery of analytics consulting services requires active participation and cooperation from client organizations. Clients are responsible for providing timely access to necessary data sources, systems, and personnel required for project completion. This includes granting appropriate system permissions, arranging stakeholder interviews, and facilitating access to relevant documentation. Clients must designate qualified personnel to serve as project points of contact and decision-makers with authority to approve deliverables and provide necessary feedback. Any delays in providing required information, resources, or approvals may result in project timeline extensions and potential additional costs. Clients are responsible for ensuring the accuracy and completeness of data provided to DataWi Analytics and for maintaining appropriate backups of all critical business data throughout the engagement period.

Intellectual Property Rights

All intellectual property rights in custom analytics solutions, dashboards, reports, and documentation created specifically for a client project belong to the client upon full payment of all fees, except for pre-existing methodologies, frameworks, and tools developed by DataWi Analytics prior to the engagement. DataWi Analytics retains ownership of all proprietary methodologies, analytical frameworks, template designs, and general industry knowledge used in delivering services. Clients receive a non-exclusive, non-transferable license to use any DataWi proprietary tools or templates incorporated into their solutions. Neither party may use the other party's trademarks, logos, or brand materials without explicit written permission. DataWi Analytics reserves the right to use project outcomes as case studies in marketing materials, provided all client-identifying information is removed or explicitly approved for disclosure.

Confidentiality and Data Protection

DataWi Analytics recognizes the sensitive nature of business data and maintains strict confidentiality standards. All client data, business strategies, proprietary information, and project details are treated as confidential and are not disclosed to third parties except as necessary to deliver contracted services or as required by law. Our team members and any subcontractors sign comprehensive confidentiality agreements before accessing client information. We implement industry-standard security measures to protect client data from unauthorized access, disclosure, or loss. However, clients acknowledge that no data transmission or storage system can be guaranteed absolutely secure. Clients retain full ownership of their business data and grant DataWi Analytics a limited license to use such data solely for the purpose of delivering contracted services. Upon project completion or termination, we return or securely destroy all client confidential information as requested, though we may retain copies as required for legal or regulatory compliance purposes.

Limitation of Liability

DataWi Analytics liability for any claims arising from our services is limited to the total fees paid by the client for the specific service giving rise to the claim during the twelve months preceding the claim. We are not liable for any indirect, incidental, consequential, special, or punitive damages including but not limited to lost profits, lost revenue, lost data, or business interruption, regardless of whether we were advised of the possibility of such damages. This limitation applies to all causes of action in aggregate, including breach of contract, breach of warranty, negligence, strict liability, misrepresentation, and other torts. Some jurisdictions do not allow limitation of liability for certain types of damages, so some limitations may not apply to specific clients based on their location.

Termination and Cancellation

Either party may terminate a service agreement with written notice according to the terms specified in the individual project contract. Upon termination, clients remain responsible for payment of all fees for services rendered up to the termination date, plus any reasonable costs incurred for wind-down activities. DataWi Analytics will deliver all completed work products and transfer relevant documentation to the client upon receipt of all outstanding payments. Early termination by the client does not entitle them to refunds for services already performed or expenses already incurred. We reserve the right to immediately terminate services without notice if a client breaches these Terms of Service, fails to make timely payments, or engages in conduct that we reasonably believe could harm our reputation or business interests.
